1. Definitions

• Company — PDC LLC, doing business as DataNerds
• Service — The DataNerds website and AEO tools available at datanerds.com
• User — Any individual or entity accessing or using the Service
• Content — All materials available through the Service

2. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. We reserve the right to terminate accounts that violate these terms or are used fraudulently.

3. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Attempt unauthorized access to any part of the Service or its infrastructure
• Disrupt or interfere with the Service or other users
• Use automated tools to scrape, crawl, or extract data without permission
• Reverse engineer or decompile any part of the Service
• Transmit malware, viruses, or other harmful code
• Impersonate any person or entity

4. Payments and Refunds

One-time report purchases are processed securely through Stripe. Fees are non-refundable except as required by law. If you purchase a subscription in the future, it will auto-renew unless canceled before the renewal date. We reserve the right to modify pricing with 30 days' notice.

5. Intellectual Property

DataNerds and its licensors retain ownership of all Service content, software, and technology. You retain ownership of any data you submit to the Service, but grant us a limited license to use that data to provide and improve the Service.

6. Data and AI-Generated Insights

AI-generated insights, scores, and recommendations provided through the Service are informational only. They may not be complete or fully accurate, and should not be relied upon as professional advice. DataNerds makes no guarantees regarding the accuracy of AI-generated outputs.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

8. Limitation of Liability

To the maximum extent permitted by law, DataNerds shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability to you for any claim arising out of or relating to the Service shall not exceed the amounts you paid to us in the twelve months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless DataNerds, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of the Service or violation of these Terms.

10. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or by posting a notice on the Service. Continued use after changes constitutes acceptance of the updated Terms.
